By subscribing, purchasing, or using any Paid Service, you<br>(\u201cyou,\u201d \u201cyour,\u201d \u201cCustomer\u201d) agree to be bound by these Terms, together with our Privacy Policy<br>and Website Terms of Use.<br>If you do not agree, do not use or purchase Paid Services.<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Eligibility<br>\u25cf You must be at least 18 years old (or the age of majority in your jurisdiction) to use Paid<br>Services.<br>\u25cf By purchasing, you represent that you have the legal capacity and authority to enter into<br>this contract.<br>\u25cf If acting on behalf of a company or entity, you represent you have authority to bind that<br>entity.<\/li>\n\n\n\n<li>Payments, Recurring Billing, and Renewals<br>\u25cf You authorize us and our payment processors to charge your chosen payment method<br>for all amounts owed, including fees, taxes, shipping, and recurring charges.<br>\u25cf Subscriptions automatically renew at the then-current price until cancelled. By<br>subscribing, you consent to automatic recurring billing and acknowledge responsibility<br>for all recurring charges until you cancel.<\/li>\n<\/ol>\n\n\n\n<p>\u25cf To avoid renewal, you must cancel prior to the renewal date. Cancellations are effective<br>at the end of the then-current billing cycle. No refunds will be provided for partial billing<br>periods unless required by law.<br>\u25cf We may change prices, billing practices, or features at any time. Material changes will<br>be communicated before your next renewal. Continued use constitutes acceptance.<\/p>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li>Shipping; Title; Risk of Loss<br>\u25cf Title and risk of loss transfer upon our delivery of goods to the carrier, unless prohibited<br>by law.<br>\u25cf We are not liable for shipping delays, loss, or theft once a carrier takes possession,<br>though we will reasonably assist with claims.<\/li>\n\n\n\n<li>Rewards, Promotions, and Coupons<br>\u25cf Rewards, loyalty programs, discounts, and coupons (\u201cRewards\u201d) have no cash value<br>and may be modified, suspended, or discontinued at any time.<br>\u25cf Rewards are subject to expiration dates, limits, and additional terms.<\/li>\n\n\n\n<li>Returns, Refunds, and Cancellations<br>\u25cf Our Return &amp; Refund Policy governs all returns.<br>\u25cf For hygiene and health reasons, unsealed or used intimate items, lubricants, cosmetics,<br>supplements, or products designated as \u201cfinal sale\u201d cannot be returned, except if<br>defective or as required by law.<br>\u25cf Digital services, content, or subscriptions that begin immediately with your consent are<br>non-refundable.<\/li>\n\n\n\n<li>Acceptable Use<br>You agree not to:<br>\u25cf Misuse products in ways unintended or unsafe,<br>\u25cf Engage in fraud, reselling without authorization, or unlawful conduct,<br>\u25cf Attempt unauthorized access, reverse engineering, or interference with our systems.<br>We may suspend or terminate access for violations immediately, with or without notice.<\/li>\n\n\n\n<li>Intellectual Property<br>All content, branding, product designs, and materials are owned or licensed by us. Unauthorized<br>use, reproduction, or distribution is prohibited.<\/li>\n\n\n\n<li>User Content and Feedback<br>\u25cf By submitting content (reviews, photos, comments), you grant us a worldwide, royalty-<br>free license to use and display it.<br>\u25cf You represent you have full rights and that your content does not violate law or third-<br>party rights.<\/li>\n\n\n\n<li>Third-Party Services<br>We may rely on payment processors, shippers, or affiliates. We are not liable for third-party<br>acts, omissions, or failures.<\/li>\n\n\n\n<li>Disclaimers; Limitation of Liability<\/li>\n<\/ol>\n\n\n\n<p>\u25cf Services and products are provided \u201cAS IS\u201d and \u201cAS AVAILABLE\u201d, without warranties<br>of any kind, express or implied.<br>\u25cf To the fullest extent permitted, we disclaim warranties of merchantability, fitness for<br>purpose, and non-infringement.<br>\u25cf Our liability, if any, is limited to the amount you paid us in the twelve (12) months<br>preceding the claim.<br>\u25cf We are not liable for indirect, incidental, special, punitive, or consequential damages,<br>including lost profits or data.<\/p>\n\n\n\n<p>10A. Assumption of Risk; Release and Hold Harmless<br>Acknowledgment of Risk. By purchasing or using our products, you acknowledge inherent<br>risks of adult, intimate, health, or wellness products, including risks from misuse, alteration, or<br>failure to follow instructions.<br>No Liability for Use or Misuse. To the maximum extent permitted, R Depot LLC d\/b\/a<br>Romantic Depot, its officers, directors, managers, members, owners, subsidiaries,<br>affiliates, employees, contractors, franchisees, independently owned Romantic Depot<br>retail stores, warehouses, online operations, and affiliated individuals shall not be liable<br>for any injury, illness, bodily harm, emotional distress, property damage, or death arising from:<br>\u25cf Your use or misuse of products,<br>\u25cf Use by others you allow to use,<br>\u25cf Failure to follow manufacturer instructions or warnings,<br>\u25cf Alterations or third-party combinations,<br>\u25cf Events beyond our reasonable control.<\/p>\n\n\n\n<p>Assumption of Risk. You voluntarily assume full responsibility for all risks, known or unknown,<br>associated with our products.<br>Release and Indemnity. You release and agree to indemnify and hold harmless R Depot LLC<br>and all protected parties listed above from any claims, demands, suits, damages, losses, or<br>costs (including attorneys\u2019 fees) arising from your purchase or use.<\/p>\n\n\n\n<p>No Waiver of Statutory Rights. This does not waive liability where exclusion is prohibited by<br>law (e.g., gross negligence, willful misconduct).<\/p>\n\n\n\n<ol start=\"11\" class=\"wp-block-list\">\n<li>Indemnification<br>You agree to indemnify, defend, and hold harmless R Depot LLC, its managing members,<br>officers, directors, shareholders, partners, employees, contractors, agents, affiliates,<br>franchisees, successors, assigns, and owners of any percentage interest from all claims,<br>liabilities, losses, damages, costs, and expenses (including attorneys\u2019 fees) arising from:<br>\u25cf Your breach of these Terms,<br>\u25cf Misuse of products or services,<br>\u25cf Violation of law,<br>\u25cf Claims brought by third parties based on your conduct or use.<\/li>\n\n\n\n<li>Changes to Terms or Services<br>We may update these Terms, pricing, or service features at any time. Changes will be effective<br>upon posting with a new effective date. For material changes affecting recurring billing<br>customers, notice will be provided before renewal. Continued use constitutes acceptance.<\/li>\n\n\n\n<li>Termination and Suspension<br>We may, at our sole discretion and without liability, suspend or terminate your access to any<br>Paid Service immediately if:<br>\u25cf You breach these Terms,<br>\u25cf We suspect fraudulent or unlawful activity,<br>\u25cf Payment is not received,<br>\u25cf We discontinue the service.<\/li>\n<\/ol>\n\n\n\n<p>No refunds are owed upon termination, except as required by law.<\/p>\n\n\n\n<ol start=\"14\" class=\"wp-block-list\">\n<li>Governing Law; Dispute Resolution<br>\u25cf Law. These Terms are governed by the laws of the State of New Jersey, USA, without<br>regard to conflicts of law.<br>\u25cf Arbitration. Except for small-claims cases, all disputes shall be resolved exclusively by<br>binding arbitration under the Federal Arbitration Act, administered by AAA or JAMS.<br>\u25cf Waivers. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN<br>CLASS OR REPRESENTATIVE ACTIONS.<br>\u25cf Venue. Arbitration (or court, if permitted) shall be seated in Bergen County, New Jersey.<br>\u25cf Time Limit.
